2.1 Service Delivery

• Free Audits: Delivered within 24 hours via email
• Professional Audits: Delivered within 24 hours (or 6 hours for rush orders)
• Implementation Services: Completed within 7-14 business days
• Monitoring Services: Weekly scans, reports delivered monthly

3. User Responsibilities

3.1 Accurate Information

You agree to provide accurate and complete information when requesting services, including:

• Valid email address
• Correct website URL
• Truthful business information

3.2 Website Ownership

You represent and warrant that:

• You own or have authorization to request audits for the submitted website
• You have the right to implement recommended changes
• The website does not violate any laws or third-party rights

3.3 Implementation

You acknowledge that UCP Compliant provides recommendations and implementation services, but you are ultimately responsible for:

• Reviewing and approving any changes to your website
• Maintaining backups before implementation
• Ensuring compliance with applicable laws and regulations

4. Prohibited Uses

You agree NOT to:

• ❌ Use our services for illegal, fraudulent, or harmful purposes
• ❌ Attempt to reverse engineer, hack, or abuse our scanning technology
• ❌ Submit excessive requests to overwhelm our systems (rate limiting applies)
• ❌ Resell or redistribute our audit reports without permission
• ❌ Use automated bots or scrapers to abuse free tier limits
• ❌ Submit websites containing illegal content, malware, or hate speech

5. Payment Terms

5.1 Pricing

Current pricing is displayed on our website and may change with 30 days' notice. Pricing tiers:

5.2 Payment Processing

• You can cancel anytime (no refund for current month)
• Cancellation takes effect at the end of the billing period
• Price lock guarantee: Early adopters keep their original pricing ($99/mo lifetime rate for first 50 subscribers)

5.4 Taxes

Prices are exclusive of applicable taxes (VAT, sales tax, etc.). You are responsible for any taxes owed in your jurisdiction.

7. Disclaimers and Limitations of Liability

Our services are provided "AS IS" and "AS AVAILABLE" without warranties of any kind, express or implied, including but not limited to:

• Accuracy or completeness of results
• Guaranteed improvement in AI discoverability

7.2 No Guarantee of Results

7.3 Limitation of Liability

To the maximum extent permitted by law, UCP Compliant shall NOT be liable for:

• Indirect, incidental, special, consequential, or punitive damages
• Loss of profits, revenue, data, or business opportunities
• Damages arising from website downtime, errors, or implementation issues
• Third-party actions (AI agents, search engines, competitors)
• User errors or misuse of our recommendations

Maximum Liability: Our total liability is limited to the amount you paid for the specific service in question (not to exceed $4,997).

7.4 Third-Party Services

We use third-party services (Google Gemini API, Web3Forms, Stripe) that may have their own terms and limitations. We are not responsible for:

• Third-party service outages or errors
• Changes to AI agent algorithms or policies
• UCP protocol updates or deprecations

8. Intellectual Property

8.1 Our IP

All content, trademarks, logos, and technology on ucpcompliant.com are owned by UCP Compliant. You may not:

• Copy, reproduce, or redistribute our content without permission
• Reverse engineer our scanning technology
• Use our branding or trademarks without written consent

8.2 Your IP

You retain all ownership rights to your website and content. By using our services, you grant us a limited license to:

• Scan and analyze your publicly accessible website
• Generate audit reports based on your website data
• Display anonymized case studies (with your explicit consent only)

9. Privacy and Data Protection

Our use of your personal information is governed by our Privacy Policy. By using our services, you consent to our data practices as described in that policy.

10. Termination

10.1 By You

You may stop using our services at any time by:

• Canceling your subscription (if applicable)
• Requesting account deletion via support@ucpcompliant.com

10.2 By Us

We reserve the right to suspend or terminate your access if you:

• Violate these Terms
• Engage in fraudulent or abusive behavior
• Fail to pay for services

Termination does not entitle you to a refund unless specified in our Refund Policy.
